Local Klicks LLC Service Agreement

At Local Klicks, our goal is to deliver dependable marketing services designed to grow your local business through clear strategy, consistent visibility, and results that matter. This agreement is designed to set expectations, define our responsibilities, and protect both parties in the event of any misunderstandings.

Agreement:

The Client is hiring the Service Provider to deliver the Local Klicks Growth System on a monthly recurring basis at the agreed rate of $297/month. The services provided are based on the current needs and business details provided by the Client. Should the project scope change or require additional services, the Client will be informed and quoted before any further work is performed.

What Both Parties Agree To:

As the Client, you have the power to enter into this purchase on behalf of your company or organization. You agree to provide us with everything necessary to complete the project including logo, text, images, link(s) to social media, hosting credentials, and any other information we request as we need it, and in the format we require. We wish to avoid any delays. Deadlines work both ways and you as well will be bound by any dates/timelines that we set forth. You also agree to adhere to the payment schedule outlined in this agreement. We have the experience and ability to perform the requested services and will carry out our work in a professional and timely manner. We cannot be held responsible for a missed project date or a deadline if you have not provided all content and/or revisions on time. We agree to carry out the services as shown on the plans tab and we will continually adapt to meet the needs of your industry as they evolve.

We reserve the right to adjust from time to time the sub-tasks and methods of each deliverable listed in the best interests of your business. We will notify you in writing of any significant change in deliverables and our reasons behind the decision. We may at any time assign, transfer, charge, sub-contract, or deal in any other manner with all or any of our rights or obligations under this Contract, without your prior consent. If we use subcontractors, we accept full responsibility for every act or omission of the sub-contractor as if it were an act or omission of our own.

Service Delivery Timeline:

Work begins after the initial payment is received. Most onboarding, form setup, and marketing kickoff will be completed within 30 business days, dependent on timely asset submission by the Client.

Monthly Payments:

Payments are collected automatically every 30 days from the original subscription date. Delayed or failed payments may result in paused services.

Disputes:

All billing or service disputes must be submitted in writing within 30 days of the invoice or charge.

Termination Policy:

Either party may terminate this agreement with 30 days written notice. All services and payments will continue during that period. Early termination may be granted without notice if either party breaches the agreement terms. Any services rendered before cancellation are still billable.

Additions & Scope Changes:

Any additional work requested outside of the standard Growth System package (e.g., additional blogs, email marketing, ad campaigns) will be quoted and invoiced separately. The Client will be notified before any such work is begun.

Revisions:

Limited revisions are included in select deliverables. If additional revisions are requested beyond scope, the Client will receive written confirmation and a quote prior to execution.

Intellectual Property Rights:

All creative materials (ads, content, graphics) created by Local Klicks remain our intellectual property unless otherwise agreed. Clients are granted a license to use deliverables as long as this agreement remains active and payments are current.

External Costs & Allowances

Client understands that certain marketing tools and platforms may require additional third-party expenses outside of the monthly service fee of $297. These may include, but are not limited to:

-Google Ads media spend (paid directly to Google)

-Website hosting or domain renewal fees (if applicable)

-Premium software subscriptions (e.g., call tracking, review platforms)

-Print materials (e.g., NFC review cards, flyers, mailers)

Local Klicks LLC will never incur or authorize any external charges on behalf of the Client without prior written approval. All such costs will be communicated in advance and are the responsibility of the Client unless otherwise agreed in writing.

Liability:

While we implement industry best practices, the Service Provider makes no guarantees regarding specific search rankings, business results, or leads due to factors beyond our control (e.g., search engine algorithms, economic conditions, client-side implementation). The Client accepts this risk and agrees to hold the Service Provider harmless for outcomes not directly controlled. Marketing performance is subject to multiple factors beyond our control. We do not guarantee a specific number of leads, conversions, or ROI.

Agreement Confirmation: By submitting payment or the onboarding form, the Client agrees to the above terms. By submitting any form on this website, the Client consents to receive SMS and email communications from Local Klicks LLC. Message and data rates may apply. Clients may opt out anytime by replying STOP or unsubscribing.
