I am hiring the Service Provider to provide marketing services recurring monthly. I acknowledge that the price I receive is based on an assessment of the information I have provided to the Service Provider on the date of purchase. I further acknowledge that if the Service Provider determines additional work not documented in the following plans is needed, the cost will be impacted. I will, however, have the opportunity to review and approve these changes prior to the Service Provider moving forward.
Client Responsibilities: You agree to provide us with everything necessary to complete the project including logos, text, images, links to social media, hosting credentials, and any other information we request in the format required. You agree to provide timely approvals and to adhere to the payment schedule outlined in this agreement.
Agency Responsibilities: We have the experience and ability to perform the requested services and will carry out our work in a professional and timely manner. We cannot be held responsible for missed project dates if you do not provide all content and/or revisions on time. We agree to carry out the services shown on the plans tab and will continually adapt to meet the needs of your industry as they evolve.
We reserve the right to adjust, from time to time, the sub-tasks and methods of each deliverable listed in the best interests of your business. If subcontractors are used, we accept full responsibility for their work.
Delivery Timeline:
Our estimated time required to complete your service delivery is within 30 days. We will commence work after we have received payment. Please keep in mind that we rely on you and your team to provide us with the necessary assets (including but not limited to website text, photos, social media, products, and pricing) and approvals in order to avoid impacting your project deadlines.
Term & Payments:
This Agreement begins on the date of subscription and carries a minimum commitment of three (3) months.
After the initial three-month term, services continue automatically on a month-to-month basis unless either party provides thirty (30) days’ written notice of cancellation.
Payments are due on the subscription date each month.
Payments remain due even if filming, approvals, or assets are delayed by the Client.
If requested information, account access, content, or approvals are not provided by the Client within 7 business days of request, the following shall apply:
✅ Project timelines may be extended without penalty to the Service Provider.
✅ The Service Provider shall not be held responsible for missed deadlines, performance delays, or results impacted by the Client’s failure to provide assets.
✅ Monthly subscription payments will continue as scheduled regardless of delays caused by the Client.
✅ If delays exceed 30 days, the Service Provider reserves the right to pause all work until the Client provides the required items.
Client must provide written notice of any disputes or concerns with respect to invoices, charges, or payments within thirty (30) days of the charge.
Either party may terminate this agreement with thirty (30) days’ written notice, assuming all payments due are completed (excluding disputed charges in good faith). Either party may terminate immediately if the other party commits a material breach of this agreement.
Upon termination:
⏳ Services will continue through the notice period.
💳 Client is responsible for payment of all services provided up to termination.
🌐 If the Client chooses to host their website with a third party, Local Klicks will provide a full export of the website and related materials. Ongoing hosting will be billed at $25 per month if maintained through Local Klicks.
📊 If the Client wishes to maintain access to the CRM without full marketing services, ongoing access will be billed at $200 per month.
✅ The Client retains complete access to the website, CRM, and all associated materials if services are terminated, provided all outstanding balances are paid in full.
Additional feature requests, changes in tasks, or scope modifications beyond what was agreed will incur additional costs based on standard offering prices.
Reasonable revisions are included where noted; additional revisions may incur charges with client approval.
Allowances:
Client is responsible for the cost of outside paid assets including hosting, domains, SSL certificates, third-party plugins, stock images, and premium fonts. Local Klicks is not liable for the functionality of third-party plugins or software.
Ownership of Materials:
Upon full payment of all balances, the Client owns all final deliverables created under this Agreement.
Local Klicks retains the right to display completed work in its portfolio, website, and marketing materials unless otherwise requested in writing by the Client.
The Service Provider will do everything possible to contribute to your marketing efforts, but we accept no liability for sales, revenue, or business success directly, indirectly, or consequentially.
Search engine and platform changes may affect results at any time. We provide no guarantees of rankings or placement due to factors outside our control.
Search engine algorithms, ad platforms, and social media policies are outside of Local Klicks’ control and may affect performance.
Local Klicks provides no guarantees of rankings, lead volume, or revenue due to factors beyond its control, including market conditions, algorithm updates, and client response times.
Video Consent & Liability:
The Client is solely responsible for obtaining all necessary permissions, releases, and consents from any individuals, businesses, or properties featured in video or photo content.
The Client must inform all participants that they are being filmed and secure their consent prior to production.
Local Klicks does not verify participant consents and is not liable for any claims arising from the use of such materials.
The Client agrees to indemnify and hold harmless Local Klicks, LLC from any claims, damages, or disputes related to filmed or photographed content.

Client agrees to grant Local Klicks the required access within 7 business days of request. Failure to provide access may result in project delays as outlined in the Client Delay Clause.
Local Klicks agrees to provide the Client with exclusive optimization and management of the primary Google Business Profile (GBP) for the Client’s business within their defined service area.
📍 The Client will be the only business represented by Local Klicks for their primary GBP and business location.
🚫 Local Klicks will not engage in recurring GBP optimization or management services for another business operating in the same primary category and location as the Client.
🔄 This exclusivity applies only to the primary GBP and primary business address provided by the Client and does not extend to additional locations or separate entities the Client may own unless otherwise agreed in writing.
⚖️ The Client acknowledges that exclusivity does not prevent Local Klicks from working with businesses in other industries, categories, or locations outside the Client’s defined service area.
🛠️ Local Klicks reserves the right to complete one-off projects or limited engagements for other clients within the same category and location, provided such work does not constitute an ongoing or recurring subscription service.
Communication Expectations
To ensure a smooth working relationship, communication will follow these guidelines:

✅ Meetings & Strategy Sessions: All calls should be scheduled through our booking calendar here: CLICK HERE TO BOOK A TIME ON MY CALENDAR.
✅ Availability: The Service Provider is available during regular business hours (7AM–3PM EST, Monday–Friday). Messages received outside of business hours will be addressed the next business day.
Client agrees to grant Local Klicks the required access within 7 business days of request. Failure to provide access may result in project delays as outlined in the Client Delay Clause.
Local Klicks operates in compliance with all applicable advertising, data privacy, and SMS/text communication laws.
The Client agrees to comply with all platform rules, advertising policies, and state/federal marketing regulations applicable to their business.
By clicking “I Agree / Purchase Now”, Client acknowledges that they have read, understood, and agree to the terms of this Service Agreement.
This acknowledgement carries the same legal force as a handwritten signature.
